Terms of Service
These terms are an agreement between you and Foyer AI, Inc. (“Foyer”, “we”, “us”), which operates Mudroom. They apply when you use the website at mudroom.dev, the agent playground at playground.mudroom.dev, or any Mudroom server or messaging service we host (together, the “services”). By using the services you accept these terms. If you use them for a business, you accept them for that business.
The open-source software
The Mudroom software is open source under the Apache License 2.0. If you download and run it yourself, that license governs your use of the code, not these terms. These terms apply only to the services Foyer runs.
What the services do
Mudroom lets AI agents find a business's services, book, cancel and reschedule appointments, and send questions to the business owner, whose replies go back to the agent. Messages to owners may be delivered through WhatsApp, Slack or SMS.
The playground is a public demo for a fictional business. Its bookings are not real and are cancelled automatically, and its owner replies may be automated.
Your responsibilities
You agree that you will:
- give accurate information when you set up a service, including a phone number or account that you are allowed to use;
- have the right to share any customer data you or your agents send through the services, and handle it as the law requires;
- keep your credentials, API keys and tokens secure, and tell us if you believe they have been misused;
- follow the terms of the third-party services you connect, including WhatsApp's Business Terms and WhatsApp Business Messaging Policy when you receive messages through WhatsApp.
You agree that you will not:
- use the services for anything unlawful, deceptive, harassing or harmful;
- send spam or unsolicited messages, or message anyone who has not agreed to receive them;
- enter real personal data of other people in the playground;
- try to get around rate limits, gain access you are not given, or disrupt or overload the services;
- impersonate any person or business.
AI agents and bookings
AI agents act for their users, not for Foyer. We do not control what an agent asks or does, and we are not responsible for an agent's decisions. A booking made through Mudroom is between the customer and the business. The business is responsible for its services, prices, availability and cancellation policies.
Third-party services
The services work with tools run by other companies, such as Square, Google, Meta (WhatsApp), Slack and Twilio. Those tools are governed by their own terms, and we are not responsible for them. If a provider changes or stops its service, parts of Mudroom may stop working.
Fees
The services are currently free. If we introduce paid plans, we will publish the prices and give you notice before you are charged. We will not charge you without your agreement.
Privacy
Our Privacy Policy explains how we handle personal data.
Names and feedback
The Mudroom name and logo belong to Foyer. These terms do not give you any right to use them, except as the Apache License 2.0 allows for the code. If you send us feedback or ideas, we may use them without any obligation to you.
Suspension and ending
You may stop using the services at any time. We may suspend or end your access if you break these terms, if your use puts the services or others at risk, or if the law requires it. Where we reasonably can, we will tell you first. We may also change or stop any part of the services; for hosted services we will give reasonable notice.
Disclaimer
The services are provided “as is” and “as available”. To the extent the law allows, Foyer gives no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the services will be uninterrupted or error-free, or that every message or booking will be delivered.
Limitation of liability
To the extent the law allows, Foyer will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or bookings. Foyer's total liability for any claim about the services is limited to the greater of the amount you paid us for the services in the 12 months before the claim and US$100.
Indemnity
If you use the services for a business, you will defend and compensate Foyer against claims by third parties that arise from your breach of these terms or from data or messages you or your agents send through the services.
Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute will be heard in the state or federal courts located in Delaware, and both parties agree to those courts' jurisdiction.
Changes to these terms
We will post any changes on this page and update the effective date. If a change is significant, we will give notice on mudroom.dev or by message before it takes effect. Using the services after a change takes effect means you accept it.
General
If any part of these terms cannot be enforced, the rest still applies. If we do not enforce a right, we have not waived it. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. These terms and the Privacy Policy are the whole agreement between you and Foyer about the services.
